Abstract

The article analyzes the effects on corporate governance and risk management of the expansion of criminal law into business activities, changing the way corporations structure their organization insofar as they take on prevention, surveillance and remediation functions that were previously the responsibility of the state. Based on an examination of this international trend, which has been adopted by Brazilian legislation, the paper examines the reasons, impacts and difficulties of this privatization of the management of corporate crime risks, as well as the results produced by the phenomenon of corporate self-regulation.
